Equity Perpetuals and the Securities-Regulation Boundary
An equity-referencing perpetual gives derivative exposure to a security or equity index without transferring the underlying shares, which brings both derivatives law and securities-market concerns into the product design.
A perpetual tracking a stock is not the stock. The holder normally does not receive shareholder ownership, voting rights, or direct custody of the issuer's shares. It is a derivative whose value references a security. That distinction does not make regulation simpler: derivatives on securities and equity indices can trigger rules around venue authorization, product scope, market data, market hours, disclosure, and client eligibility.
Reference asset matters
A crypto perpetual can reference a digital commodity-like asset. An equity perp references a security or securities index. The regulatory perimeter can therefore change even if the margin engine and order-book technology are identical.
24/7 trading versus underlying hours
An equity market can close while a synthetic derivative continues trading. The oracle then needs a policy for off-hours information, stale last prices, futures, correlated instruments, or other references.
A corporate announcement outside cash-market hours can cause a discontinuous repricing before the underlying exchange opens.
Corporate actions
Splits, dividends, mergers, spin-offs, trading halts, and delistings can change the economics of the referenced equity. A perp operator needs explicit adjustment rules.
These are market-operation responsibilities, not cosmetic symbol updates.
Regulatory boundary
In the U.S., a security-based derivative can implicate securities and derivatives frameworks. In the EU and UK, MiFID-style derivative categories and product rules can apply. Specific classification requires legal analysis of the contract and venue.
A HIP-3 deployer should not assume permissionless technical deployment creates permissionless legal distribution.
